1. Acceptance of Terms

By accessing and using DarkSyde Entertainment Studios' services, website, and facilities, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, clients, and others who access or use our services, including but not limited to recording sessions, mixing, mastering, production services, and artist development programs.

2. Services Description

DarkSyde Entertainment Studios provides professional music production services including:

• Studio recording sessions
• Audio mixing and mastering
• Music production and beat creation
• Songwriting assistance and collaboration
• Artist development and coaching
• Voice-over recording
• Podcast production

Service descriptions, pricing, and availability are subject to change at our discretion. We reserve the right to refuse service to anyone for any reason at any time.

3. Booking and Payment

Deposits: All studio sessions require a non-refundable deposit at the time of booking. Deposits are applied to the final session cost.

Payment Terms: Full payment is due upon completion of services unless otherwise agreed upon in writing. We accept credit cards, debit cards, and electronic payments through our approved payment processors.

Cancellations: Session cancellations must be made at least 48 hours in advance to avoid forfeiture of deposit. Same-day cancellations will result in loss of full deposit.

Late Arrivals: Sessions start at scheduled times. Late arrivals may result in shortened session time without refund or credit.

4. Studio Rules and Conduct

Clients agree to:

• Treat all equipment, facilities, and staff with respect
• Arrive on time and prepared for scheduled sessions
• Not bring unauthorized guests without prior approval
• Refrain from smoking, vaping, or drug use on premises
• Keep noise levels appropriate in common areas
• Take responsibility for any equipment damage caused by client or guests

Violation of studio rules may result in immediate session termination without refund and potential ban from future bookings.

5. Intellectual Property Rights

Client Ownership: Clients retain full ownership and copyright of their original compositions, lyrics, and performances recorded at DarkSyde Entertainment Studios.

Production Credits: DarkSyde Entertainment Studios reserves the right to production credits on all works created in our facility. Specific credit agreements can be negotiated in writing.

Beats and Productions: For custom beat production or original instrumental compositions created by DarkSyde Entertainment Studios, licensing terms will be specified in a separate agreement.

Portfolio Use: We reserve the right to use excerpts of client work for promotional purposes, portfolio display, and social media marketing unless explicitly declined in writing.

6. File Storage and Delivery

Project Files: Session files are stored on our servers for 90 days after project completion. After 90 days, files may be archived or deleted. Clients are responsible for backing up final deliverables.

File Delivery: Final mixes and masters are delivered digitally via secure download link or cloud storage. Physical media delivery available upon request for additional fee.

Archival Storage: Extended file storage beyond 90 days available for additional monthly fee. Contact us for archival storage rates.

7. Revisions and Satisfaction

Included Revisions: Standard mixing packages include unlimited revisions until client satisfaction, within reason. Mastering services include up to 3 revision rounds.

Scope Changes: Major changes to project scope after work begins may incur additional charges. Scope changes will be discussed and agreed upon before proceeding.

Final Approval: Once client provides final approval and accepts deliverables, no further revisions are included. Additional revision requests after approval subject to hourly rates.

8. Limitation of Liability

DarkSyde Entertainment Studios shall not be liable for:

• Loss or corruption of data not backed up by client
• Technical failures beyond our reasonable control
• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Claims arising from client's use of final deliverables

Our total liability for any claim shall not exceed the amount paid by client for the specific service in question.

9. Privacy and Confidentiality

We respect client privacy and maintain confidentiality of unreleased works. Client information is handled according to our Privacy Policy. We do not share client contact information or project details without permission.

Industry professionals may be consulted on projects (session musicians, guest engineers, etc.) under confidentiality agreements when necessary.

10. Modifications to Terms

We reserve the right to modify these Terms of Use at any time. Changes become effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of modified terms.

Clients will be notified of significant changes via email when possible.

11. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the jurisdiction in which DarkSyde Entertainment Studios operates, without regard to conflict of law principles.

Any disputes arising from these terms or use of our services shall be resolved through binding arbitration or in the courts of our operating jurisdiction.
